Article I – Name and Jurisdiction

1.1 The official name of this organization shall be the International Diamond Masters Association, hereafter referred to as “IDMA”.

1.2 The IDMA shall operate worldwide, adhering to international laws and standards, as well as local laws within each operating region.

Article II – Purpose

2.1 IDMA is established to represent the interests of individuals and organizations involved in the diamond trade industry.

2.2 IDMA aims to promote ethical trade practices, advocate for fair and transparent trade regulations, and foster international cooperation among industry stakeholders.

2.3 IDMA shall conduct research, host events, and undertake any other necessary activities to accomplish its objectives.

Article III – Membership

3.1 Membership is open to all individuals, companies, and organizations involved in the diamond trade industry who are committed to the principles and objectives of IDMA and have paid the required membership dues.

3.2 Members will have the right to vote at IDMA’s general meetings and stand for office.

3.3 Members must adhere to the ethical guidelines laid out by IDMA, violation of which may result in termination of membership.

3.4 Members may voluntarily resign from IDMA by providing a written notice.

3.5 Expulsion of members will be decided by the Board of Directors, with the member in question having the right to appeal the decision.

Article IV – Board of Directors

4.1 The Board of Directors shall comprise of members elected from IDMA’s membership, serving a term of [insert term length].

4.2 The Board of Directors is responsible for overseeing the overall strategic direction and governance of IDMA.

4.3 The Board shall meet regularly to discuss and make decisions regarding IDMA’s operations and initiatives.

4.4 Decisions at Board meetings shall be made by a majority vote.

Article V – Officers

5.1 The Officers of IDMA will consist of a President, Vice President, Secretary, and Treasurer.

5.2 Officers will be elected by the members of IDMA for a term of [insert term length].

5.3 The President shall preside over meetings, represent IDMA in public, and ensure the fulfillment of its objectives.

5.4 The Vice President shall assist the President and fulfill the President’s duties in their absence.

5.5 The Secretary shall manage all documentation and record all meeting minutes.

5.6 The Treasurer shall manage IDMA’s finances, keep financial records, and report on the financial status at general meetings.

Article VI – Meetings

6.1 IDMA shall hold an Annual General Meeting (AGM) and other meetings as necessary. The time and place of these meetings shall be determined by the Board.

6.2 The AGM shall review the activities and financial status of IDMA, and elect Officers and Board members.

6.3 Special meetings may be called by the Board or upon request by a significant number of members, with a defined agenda.

6.4 Quorum shall be constituted by [insert percentage or number] of members.

Article VII – Finances

7.1 IDMA shall be funded through membership fees, donations, grants, and other lawful activities.

7.2 The Treasurer shall manage IDMA’s finances in accordance with legal requirements and sound financial practices.

7.4 IDMA’s accounts shall be audited annually by a certified independent auditor who is not a member of the board or an officer of the organization.

Article VIII – Amendments

8.1 Amendments to this constitution may be proposed by any member of IDMA or by the

Board of Directors.

8.2 Proposed amendments must be circulated to all members at least 30 days before the meeting where the amendment will be voted on.

8.3 Amendments shall be adopted if approved by two-thirds of the members present and voting at a general meeting or special meeting called for this purpose.

Article IX – Dissolution

9.1 IDMA may be dissolved if deemed necessary by the members in a majority vote at a general meeting.

9.2 Upon dissolution, any remaining assets, after satisfying outstanding debts and liabilities, shall be distributed to a non-profit organization with similar objectives, as decided by the members.

Article X – Conflict Resolution

10.1 Any disputes arising within IDMA shall be referred to a dispute resolution committee, formed by the Board, which will suggest the course of action.

10.2 If the conflict cannot be resolved internally, it may be taken to an independent mediator agreed upon by all parties.

Article XI – Ethical Guidelines

11.1 All IDMA members are expected to adhere to the highest standards of ethical conduct, promoting transparency, fair trade, and sustainability within the diamond industry.

11.2 Breach of these guidelines may result in disciplinary action, including possible termination of membership.
